Volato Group Signs $500M Merger Deal with AI Infrastructure Firm Alignment Engine

Aviation AI software company Volato Group has entered into a definitive merger agreement with AI infrastructure company Alignment Engine, Inc., a move that will transform the company into a data center developer and HPC provider. The transaction values Alignment Engine at $500 million and marks a significant pivot for Volato, which will gain access to a powered industrial campus in Ohio with immediate capacity for high-density AI workloads.

Under the terms of the agreement, Volato will acquire Alignment Engine's data center campus, which currently delivers 154MW of operational capacity and has a near-term expansion path to 480MW. The deal also includes the company's GPU compute infrastructure, networking hardware, and proprietary technology, positioning the combined entity to address one of the most pressing bottlenecks in the AI industry: the availability of both power and compute capacity.

“Power and compute capacity have become critical constraints on the continued expansion of AI,” said Chris Ensey, CEO of Alignment Engine. “We aren't starting with a greenfield site and a plan to find power. We have a powered industrial campus and 154MW available today with a path to 480MW of capacity.”

The merger represents a strategic culmination of Volato's announced intent to enter the AI infrastructure space. “When we announced our move into AI infrastructure, we said we were looking for an opportunity capable of fundamentally changing the scale and direction of Volato,” said Matt Liotta, CEO of Volato. “We have spent the intervening months working rather than talking. Alignment Engine is the result.”

While an exact timeline for the merger's completion has not been disclosed, the companies indicated that closing is expected to follow shortly after the execution of the definitive agreement. The deal is poised to reshape Volato's business profile, shifting its focus from aviation software to the rapidly expanding AI data center market.

Alignment Engine, founded in 2021, operates exclusively on AMD hardware. The company has previously announced plans to deploy AMD's Helios rackscale solution with Instinct MI455X GPUs at its Ohio facility in 2027. It has also collaborated with AMD and the University of Southern California's Information Sciences Institute (USC ISI) to train the MEGALODON large language model. Additionally, Alignment Engine has developed a proprietary NeuralSync DPU, which it claims can enhance GPU performance.

The merger comes at a time of financial uncertainty for Volato Group. In its quarterly report published August 10, the company disclosed “substantial doubt” regarding its ability to continue as a going concern. The report noted a net loss of approximately $4.7 million for the six months ended June 30, 2026, and an accumulated deficit of roughly $105.5 million as of the same date. Volato plans to fund operations over the next year through debt, equity securities, and revenue from operations.

The transaction follows a similar pattern seen recently in the industry, such as the reverse merger between Healthy Choices Wellness Corp and Host Digital Infrastructure, reflecting a growing trend of corporate vehicles pivoting into AI infrastructure through strategic acquisitions. As demand for AI compute and power continues to outpace supply, deals like this one underscore the increasing value of powered land and operational data center capacity.
