Blockfusion USA, Inc., a developer and operator of high-performance computing and AI infrastructure, announced that its wholly owned subsidiary, North East Data, LLC, has entered into a definitive anchor lease with CoreWeave, Inc. for capacity at Blockfusion's Niagara Falls, New York campus, alongside a companion expansion agreement. The agreements convert a previously announced non-binding letter of intent, signed on June 30, 2026, into binding contractual commitments, marking a significant step in the planned business combination involving Blue Acquisition Corp. and Blockfusion Digital Infrastructure, Inc.
The anchor lease carries a 15-year initial term with two five-year renewal options, securing long-term capacity at a campus that Blockfusion has transformed from a decommissioned power plant into a low-carbon data center powered predominantly by hydroelectric energy. The site is being adapted for high-density, liquid-cooled AI infrastructure and benefits from an existing grid interconnection, clean energy supply, and redundant fiber infrastructure. The expansion agreement, while not a committed lease, sets the framework for additional capacity at the campus, subject to power and infrastructure conditions and CoreWeave's approval of the power infrastructure plan. CoreWeave has no obligation to lease additional capacity, and no take-or-pay obligation arises unless those conditions are satisfied.

Robert Restaino, Mayor of the City of Niagara Falls, added that the conversation about data centers is ultimately about ensuring technology investment translates into real benefits for local communities, noting that Blockfusion's commitment creates opportunities for residents, businesses and future generations.
The agreements also mark an important step in Blockfusion's proposed business combination with Blue Acquisition Corp. Subject to closing conditions, including minimum cash requirements, shareholder approvals, and regulatory and exchange-listing requirements, the transaction is expected to result in Blockfusion Digital Infrastructure, Inc. becoming a publicly traded pure-play HPC and AI infrastructure platform listed on the Nasdaq Stock Market under the ticker symbol "BDI." Additional information regarding the lease, the expansion agreement and related arrangements will be included in an amendment to the registration statement on Form S-4 to be filed with the U.S. Securities and Exchange Commission. The business combination itself remains uncompleted and contingent on the satisfaction of customary closing conditions.
